1. Independent Contractor Status

You acknowledge that you are an independent contractor, not an employee, agent, or representative of KidsCode Gift or Mokawill LLC. You are solely responsible for your own taxes, insurance, and compliance with applicable laws. KidsCode Gift does not withhold taxes from your payouts. You may receive a Form 1099-K as required by IRS regulations.

2. Background Check & Verification

You consent to a background check conducted via Checkr, at our expense, prior to approval.
You agree to provide accurate, truthful information during the verification process.
You acknowledge that approval is at our sole discretion and may be revoked at any time.
You agree to notify us promptly if any information that would affect your eligibility changes (e.g., new criminal charges).
Background checks may be re-run periodically at our discretion.

3. Child Safety Obligations

You may be a mandated reporter under applicable state law. You agree to fulfill your legal obligations to report suspected child abuse or neglect.
You will maintain a professional, appropriate demeanor at all times during sessions.
You will not communicate with students outside of the platform's messaging system.
You will not share personal contact information (phone, email, social media) with students.
You will use the platform's waiting room feature and only admit enrolled students.
You will not record sessions unless recording is enabled AND the student's parent has consented.
You will report any child safety concern to contact@kidscodegift.com immediately.

4. Workshop Standards

All workshops must meet the platform's minimum price floor (see Terms §17).
You must accurately describe your workshop, including prerequisites, format, and content.
You must show up on time for scheduled sessions. Repeated no-shows result in suspension.
You must use the platform's video system (Daily.co) for all live sessions.
New workshops are subject to admin approval before publishing. Verified teachers with a track record may self-publish.

5. Revenue Share & Payouts

The default commission is 28% (you keep 72%). Higher rates apply for self-referred students (85%) and renewals (90%).
Payouts are processed via Stripe Connect. You must complete Stripe onboarding before receiving payouts.
Single-session workshops: payout is instant upon enrollment.
Multi-session bootcamps: 50% after the first session, 50% upon completion.
If a student receives a refund, your payout may be clawed back proportionally.
The platform reserves the right to issue refunds at its discretion in cases of disputes, safety concerns, or service failures.

6. Content Ownership & License

You retain ownership of your workshop content, materials, and curriculum. By publishing on the platform, you grant KidsCode Gift a non-exclusive, worldwide, royalty-free license to host, display, and deliver your content to enrolled students. You may remove your workshops at any time, but students who have already enrolled retain access until their enrollment ends.

7. Termination

Either party may terminate this agreement at any time with notice. KidsCode Gift may terminate immediately and without notice in cases of: child safety concerns, violation of these terms, fraud, or conduct that harms the platform or its users. Upon termination, pending payouts will be processed within 30 days, subject to any pending disputes or chargebacks.

8. Limitation of Liability

KidsCode Gift provides the platform "as is." We are not liable for: (a) the quality or outcome of your teaching, (b) student behavior or no-shows, (c) technical failures beyond our control, or (d) any indirect, incidental, or consequential damages. Our total liability to you shall not exceed the total payouts you received in the preceding 12 months.

9. Changes to This Agreement

We may update this agreement from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated agreement.
